Introduction and acceptance

These Terms & Conditions ("Terms") form an agreement between you, whether as an individual user or as a merchant business ("you", "your"), and PalmNode Infratech Pvt. Ltd. ("PalmNode", "the Company", "we", "us", "our"), a company registered in Maharashtra, India. By accessing niev.in, enrolling in the Retail Partner Beta Pilot, or otherwise using our terminals or software, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Definitions

"Company" means PalmNode Infratech Pvt. Ltd. "Merchant" means a retail business that has enrolled to use PalmNode's terminals and software. "Customer" or "End User" means an individual who enrols their palm-vein pattern to transact at a Merchant's point of sale. "Services" means the palm-vein biometric checkout solution offered by the Company, including hardware and software. "Terminal" means the physical palm-vein scanning device supplied by the Company. "Software" means the merchant-facing application and any associated software provided as part of the Services.

Eligibility

You must be at least 18 years of age to use our Services. If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business to these Terms.

Services description

PalmNode Infratech provides next-generation, frictionless biometric checkout solutions for physical retail. Our hardware and software ecosystem allows merchants to process secure, PIN-less transactions using advanced palm-vein scanning technology, eliminating the need for mobile phones or QR codes at the point of sale.

Retail Partner Beta Pilot

The Retail Partner Beta Pilot is available for a fee of ₹500, which includes initial hardware setup and a 1-month software license. As a beta offering, features, functionality, and pricing of the pilot may change as we continue to develop the Services. Unless otherwise agreed in writing, Terminal hardware supplied under the pilot remains the property of the Company and must be returned or accounted for in accordance with any separate agreement between you and the Company.

Payments

All prices for our Services are stated in Indian Rupees (INR) and are processed through our payment gateway partner. Applicable taxes will be added where required by law. For details on cancellations and refunds, please see our Refund & Cancellation Policy.

Merchant obligations

Merchants agree to provide accurate and current information when enrolling in our Services, to use the Terminal and Software only for lawful purposes, to safeguard Terminal hardware against loss, damage, or unauthorised access, and to obtain appropriate consent from Customers before enrolling their palm-vein pattern for authentication.

Acceptable use

You agree not to misuse the Services, including by attempting to reverse-engineer, tamper with, or bypass the security of the Terminal or Software, or by using the Services for any unlawful or fraudulent purpose.

Intellectual property

All intellectual property rights in the Terminal hardware, Software, and related materials belong to the Company or its licensors. Nothing in these Terms transfers ownership of any such intellectual property to you.

Biometric data and privacy

Our collection and use of biometric information is governed by our Privacy Policy. The Company does not process raw banking details, card data, or UPI PINs; such financial information is handled exclusively by our payment gateway partner.

Warranties and disclaimers

The Services are provided on an "as is" and "as available" basis. While we take reasonable care in operating our Services, we do not warrant that the Services will be uninterrupted, error-free, or free of defects, and we disclaim all warranties not expressly stated in these Terms, to the extent permitted by applicable law.

Limitation of liability

To the extent permitted by applicable law, the Company's total liability arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to the Company in the three months immediately preceding the event giving rise to the claim.

Indemnity

You agree to indemnify and hold the Company harmless from any claims, losses, or damages arising from your breach of these Terms or your misuse of the Services.

Termination

We may suspend or terminate your access to the Services if you breach these Terms. You may stop using the Services at any time, subject to the terms of the Retail Partner Beta Pilot and our Refund & Cancellation Policy.

Governing law and jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Thane, Maharashtra.

Changes to these terms

We may update these Terms from time to time. Continued use of the Services after any changes take effect constitutes your acceptance of the revised Terms.
